An e-commerce platform is a digital marketplace that allows sellers to list and sell their goods or services online. The customers will be able to browse, select, and purchase these offerings. Examples of e-commerce platforms in India are Amazon India, Flipkart, etc.
The Agreement outlines important elements including vendor obligations, platform responsibilities, listing and inventory management, payment terms, reviews, ratings etc. Besides that, users will be able to include simple wording for shipping and return policies as well. However, if a user is looking for more detailed wording, our Refund Policy and Shipping Policy could be used in conjunction with the present Agreement.
This Agreement is intended to be used by Platform serving their products or services to Indian users. The laws and regulations in India will be applicable to all transactions related to the Platform.
You can use this Agreement by filling in the relevant details of your e-commerce platform. The Agreement helps in defining the rights, obligations, and limitations of both the platform and the vendor. It is essential to carefully review and understand the Agreement, making any necessary modifications to ensure it aligns with your specific business requirements.
To make the Agreement a valid document you can either take a printout and get it signed by both parties, but, since it is an e-commerce platform, it is not viable to get each agreement signed in physical copies. For this, you can take the vendor consent online by implementing a robust solution, including a secure and reliable online consent mechanism, such as a checkbox or "I Agree" button, to capture customer consent. The consent data shall include the date, time, and relevant customer details associated with the consent. You need to make sure the mechanism used to take consent from the customer complies with the applicable laws of the jurisdiction where the consent has been taken.
The general laws applicable to e-commerce agreements are Indian Contract Act, 1872, Consumer Protection Act, 2019, E-commerce Rules, 2020, IT Act, 2000, Legal Metrology (Packaged Commodities) Rules 2011 and the associated rules, governing digital transactions and data privacy, among others.
