A Beta Tester Non-Disclosure Agreement (NDA), also known as a confidentiality agreement, is a document used when two people or companies enter into a relationship where one of the parties will be revealing confidential information in the course of their relationship. In this instance, this document is used specifically by a software company or individual developer to protect their product development secrets. A Beta Tester NDA helps the owner of this proprietary information get user feedback for new products and features while limiting the risk that the specifics of their new products will leak to the public as a result of this collaboration. Generally, software beta testers must sign an NDA to prevent them from revealing any information about the product they are testing until it is ready to be released widely to the public. For a developer that is hiring someone to test their software, an NDA helps protect their sensitive information while the product is being developed.

There are two specific categories of information that are treated differently by NDAs - general confidential information and trade secret information. In this agreement a software company is providing both confidential information and trade secrets to the beta tester for the specific purpose of conducting quality control testing. The content, performance, coding and all other information or materials related to the software are expected to remain confidential between the contracting parties. Applicable law

Non-Disclosure Agreements are subject to the laws of individual states. There is no one federal law covering Non-Disclosure Agreements. In some states, Non-Disclosure Agreements will be interpreted under laws applying specifically to these type of documents. In other states, Non-Disclosure Agreements will be interpreted according to the general rules of contract law.

There is, however, a Uniform Trade Secrets Act, which is a model act that has been adopted by the majority of the U.S. States and the District of Columbia.
