This Letter is used to apply for the Certified True Copy (CTC) of an organization's certificate of registration. A certificate of registration or incorporation is a single document issued by the Corporate Affairs Commission (CAC) upon incorporation.

The certificate bears the full name and the registration number of the registered company or organization. The document serves as proof of registration or incorporation and can be required in some transactions. But if the certificate is lost or destroyed, there is a need to obtain the CTC of the certificate. To do this, a director, proprietor, chairman, or another high-ranking officer of the company or organization should send this application together with other required documents to the CAC to request for the CTC of the certificate of incorporation. In other words, this document can be used only if the certificate of incorporation is lost or destroyed.


How to use this document

In this document, the form filled will provide the name, address and registration number of the organization whose certificate has been lost or destroyed, the address of the CAC office where the letter will be delivered to, the full name and address of the person making the request on behalf of the organization.

After completing the document, the letter should be signed and sent to CAC and one copy should be kept for record purposes.

If the sender or applicant is a company, this document should be signed by one director of the company and this letter should be delivered to the CAC with the following:

  • a sworn Affidavit by a director (as the case may be) explaining the circumstances of the application;
  • an updated annual returns (where applicable);
  • payment of fees.

If the sender of this letter is a business name (i.e sole proprietor or partnership), this document should be signed by the proprietor or one partner of the company and this letter should be delivered to the CAC with the following:

  • a sworn Affidavit by a proprietor or partner (as the case may be) explaining the circumstances of the application;
  • an updated annual returns (where applicable);
  • the photocopy of the proprietor's valid means of identification (such as National I.D card, Driver's licence or International passport); and
  • payment of fees.

If the sender of this letter is an incorporated trustees, this document should be signed by the chairman or secretary of the incorporated trustee and this letter should be delivered to the CAC with the following:

  • a sworn Affidavit (as the case may be) explaining the circumstances of the application;
  • an extract of minutes of general meeting authorizing the application;
  • the photocopy of the proprietor's valid means of identification (such as National I.D card, Driver's licence or International passport);
  • if the certificate was lost, an extract of police report of loss;
  • an updated annual returns (where applicable); and
  • payment of fees.

After this is done, the certified true copy of the certificate of registration will be issued to the applicant.

The CAC regulations are applicable to this document. The Companies and Allied Matters Act, 2020 also apply to this document.
