VOLUNTEER AGREEMENT
This Volunteer Agreement is made on ________ between ________, an organization of the following address:

2. WORK SCHEDULE AND LOCATION

3.1. The Volunteer acknowledges that the Volunteer is providing the services voluntarily and shall not receive any wages, benefits, or other compensation for this position.
4. TRAINING
4.1. The Volunteer may be required to undergo some training before commencing the volunteering position. The training will last for the following period: ________. During the training, the Volunteer may be assigned a supervisor or mentor whose instructions the Volunteer must follow.
5. TERMINATION
5.1. Both the Organization and the Volunteer can terminate this Agreement at any time. Upon termination, the Volunteer shall do the following:
(5.1.I) immediately deliver to the Organization all monies, documents, books, materials and any other property belonging and relating to the Organization which is in the possession of the Volunteer;
(5.1.II) delete any information relating to the business of the Organization on any electronic device, hard disk etc which is in the possession of the Volunteer;
(5.1.III) the Volunteer shall not disclose or use any of the Organization's trade secret. The Organization shall be entitled to seek an injunction or any other legal remedy to prevent such disclosure or use.

7. FORCE MAJEURE
7.1. Neither party shall, before the Expiration or Termination Date, be liable for any failure to fulfill any term of this Agreement if the fulfillment has been delayed, hindered, interfered with, or prevented by force majeure, which in this Agreement, shall mean any circumstances:
(7.1.I) which is beyond a Party's control;
(7.1.II) which such Party could not have reasonably avoided or overcome; and
(7.1.III) which is not attributable to the other Party.
7.2. Without prejudice to the generality of the foregoing, force majeure shall include the following events and circumstances:
(7.2.I) war, hostilities, or invasion;
(7.2.II) rebellion, terrorism, revolution, insurrection, military or usurped power;
(7.2.III) riot, civil disorder, or other acts that may reasonably affect the ability of the Party to fulfill its obligations under this Agreement.
8. EXPENSE REIMBURSEMENT
8.1. The Volunteer is entitled to reimbursement for expenses that are incurred in relation to the volunteer's work for the Organization. In particular, the Volunteer shall be reimbursed for the following expenses:

9. RELEASE OF LIABILITY
9.1. The Volunteer and the Organization hereby release and hold each other, their assignees, affiliates, employees, agents harmless from any injury, liability, loss, damage, or expenses that they, their assignees, or lawful agents and affiliates may suffer as a result of the obligations delegated to the Volunteer, including the act of God, civil unrest, war, restrictions, regulation, or other circumstance that may occur as a result of the Volunteer's Work. The Volunteer hereby releases the Organization, their assignees, employees, or authorized agents for any form of negligence, acts or omission arising from their acts or omission or the manner in which the Volunteer performed the Services.
10. CONFIDENTIAL OBLIGATIONS
10.1. The Volunteer hereby acknowledges that in connection with this Agreement, they may have access to confidential and trade secret information and materials.
10.2.Confidential information includes all information or materials of whatever nature relating to the purpose disclosed by the Parties by sharing of any written material or by any oral or written statement whatsoever which includes but not limited to documents, techniques, practices, tools, specifications, inventions, patents, trademark, soft wares, drawings, programmes but shall not include the following information or data:
(10.2.I) which can be established by written records to be already known to the Volunteer or the public at the time of the disclosure;
(10.2.II) which enters the public domain through no fault of the Volunteer;
(10.2.III) is given by the Organization to third parties without any restrictions;
(10.2.IV) is given to the Volunteer by any third party who is in possession of such information and has the legal right to disclose it; or
(10.2.V) that is required by law to be disclosed.
10.3.Trade secret information includes all formulas, pattern, designs, process, methods or other information that is not known or easily ascertainable to the general public. Consequently, the Volunteer hereby undertakes as follows:
(10.3.I) to keep the confidential information or trade secret information confidential at all times;
(10.3.II) not to disclose the confidential information or trade secret information permit its disclosure in whole or in part to any third party without the prior consent of the Organization (except in the proper course of his employment);
(10.3.III) not to use the confidential information or trade secret information in whole or in part for any purpose except for the performance of the tasks and duties outlined in this Agreement;
(10.3.IV) transfer or part with possession of the whole or any part of the confidential information;
(10.3.V) not to use, or disclose, or permit the disclosure by any person of the confidential information for the benefit of any third party;
(10.3.VI) to take proper and reasonable measures to ensure the confidentiality of the confidential information and trade secret information.
10.4.The Volunteer agrees not to disclose the trade secret information or confidential information during and after the termination of this Agreement for as long as it remains a trade secret.
11. GOVERNING LAW
11.1.This Agreement shall be governed and construed in accordance with the Laws, regulations or guidelines of the Federal Republic of Nigeria.
12. JURISDICTION
12.1. Both parties agree that the National Industrial Court in Nigeria shall have the exclusive jurisdiction to settle any dispute or claim in connection with this Agreement.
13. MISCELLANEOUS
(I) Variation: This Agreement may be amended or varied by either of the Parties, and such variation must be agreed to and signed by the Parties to this Agreement. No delay or omission to exercise any right under this Agreement shall be construed as a waiver.
(II) Notices: All notices under this Agreement may be given orally or in writing. The notices shall either be delivered personally or mailed by a certified mail to the other Party's address or that other Party's attorney.
(III) Headings: Headings in this Agreement are used for convenience ony and shall not be construed to limit or affect the terms of this Agreement.
(IV) Counterparts: This Agreement many be executed in counterparts, all of which constitutes one Agreement.
(V) Entire Agreement: This Agreement and any other agreement described as an addendum to this Agreement constitutes the entire agreement between the Parties and supersedes any prior contrary written or oral agreement made between them.
(VI) Assignment: No Party shall assign any of its obligation or duties under this Agreement, without the prior written consent of the other Party.
(VII) Enurement: This Agreement will enure the benefit of and be binding on the Parties and their respective heirs, executors, administrators and permitted successors and assigns.
(VIII) Cumulative Rights: The rights of the Parties in this Agreement are cumulative and shall not be construed as exclusive except as otherwise stated by the law.
(IX) Waivers: Any term or provision of this Agreement may be waived in writing at any time by the Party entitled to such benefit. No delay, omission to exercise any right shall not be construed as waiver.
(X) Severability: If any part of this Agreement is held unenforceable, the remainder of this Agreement shall continue to be in force and have effect.
(XI) Further Assurance: The Parties shall execute and deliver all such documents and take all such actions and all steps to procure the performance of all such acts as may be necessary or incidental to give effect to the provisions of this Agreement.

7. FORCE MAJEURE
