A Director Consent Letter is a letter which expressly states that a person voluntarily accepts the appointment to act as a director on the Board of Directors of a Company.
In India, only a natural person can act as a director of a Company. However, for an appointment to be valid, such a person must have attained the age of 18 years and should not be disqualified from being a director under Indian law.
How to use this document
This document can be used by a person who has been newly appointed to act as a director of a Company.
After filling out the letter, the director must sign the letter. After signing the document, the director must deposit a signed copy with the appointing Company. Along with the consent letter, and declaration of the appointee director, in Form No. DIR-2 is required to be provided to the company, which needs to submit the same with e-Form DIR-12 to the Registrar of Companies.
The appointing Company must file the appointment with the Registrar of Companies in e-Form DIR-12 within 30 days.
Applicable Law
Rule 8 of Companies (Appointment and Qualification of Directors) Rules, 2014 read with the Companies Act, 2013 requires a director to provide his consent prior to appointment.
