CONSENT TO SUBLEASE AGREEMENT
This CONSENT TO SUBLEASE AGREEMENT ("Consent") is entered into on ________, at Andaman and Nicobar Islands
By a Deed of Lease ("Master Lease") dated ________, entered into BY AND BETWEEN ________ (Individual) ("Lessor") AND ________ (Individual) ("Lessee") and registered at the office of the Sub-Registrar at ________ on ________, under Serial No: ________, the Lessor demised the below-mentioned property onto the Lessee, for a term of ________, on and subject to the covenants, terms, and conditions therein mentioned. Both the Lessor and Lessee do hereby consent to the subleasing of the Leased Premises by Lessee as Sub Lessor to ________ (Individual) as Sub Lessee ("Sub Lessee").
The Lessor, Lessee and Sub Lessee will hereinafter collectively be referred to as the "Parties" and individually as "Party".
WHEREAS
I. This Consent is pursuant to the Sublease deed dated ________ for a period of ________, to ________, ("Sublease"). A copy of the Sublease is attached as Annexure-1.
II. The Master Lease is still valid and subsisting.
III. The Sub Lessor is in physical possession of the property located at:
________ (Hereinafter called the "Leased Premises")
NOW, THEREFORE, for and in consideration of the covenants and mutual agreements herein contained, the Lessor, the Lessee and the Sub Lessee hereby agree as follows:
(a). On the terms and conditions hereinafter set forth the Lessor consents to the Sublease.
(b). The occupancy of Leased Premises is subject to the terms and conditions of the Master Lease dated ________, and both the Lessee and Sub Lessee shall comply with its terms.
(c). The Lessee shall pay the additional one-time fee of Rs ________ (________) to the Lessor for subletting the Leased Premises.
(d). Neither Sublease nor this consent shall release the Lessee of its liability and responsibility under Master Lease. Lessee shall always be liable to the Lessor for all the covenants and conditions set forth under Master Lease.
(e). The Sub Lessee agrees to assume all the applicable obligations and responsibilities of the Sub Lessor under the Master Lease with respect to the Leased Premises starting from ________, until ________.
(f). Violation of any provision of Master Lease will make both the Lessee and Sub Lessee liable and the Lessor can resort to all remedies available under Master Lease and other legal remedies against both the Lessee and Sub Lessee.
(g). The Consent shall not be construed as consent or approval for any variance with Sublease or Master Lease, reduce the obligations of Lessee under Master Lease or increase obligations of Lessor.
(h). In any case, any difference between this Consent or Master Lease with that of Sub Lease, the provisions of the Master Lease or this Consent prevail.

(l). The Sub Lessee shall get prior written consent from the Lessor for any addition or extension of space. The Lessor reserves the right to approve or reject any such request at Lessor's discretion.
(m). A copy of the insurance certificate taken by the Sub Lessee on the Leased Premises will be attached along with this Agreement as Annexure-2. The Sub Lessee agrees to provide Lessor with a copy of the insurance renewal certificate at least 30 (thirty) days prior to the expiration of the existing policy.
(n). The Lessee and Sub Lessee agree to indemnify, defend, and hold Lessor harmless from and against any loss, cost, expense, damage, or liability, including reasonable attorney's fees, incurred as a result of a claim by any person or entity based, upon the act or omission of Lessee or Sub Lessee.
(o). The foregoing Consent only applies to this Sublease dated ________, and shall not be construed as consent to any other subletting under the Sublease nor shall this consent be construed to release the Lessee from any of its obligations under Master Lease.
(p). The Lessor reserves the right to pursue all remedies available in the event of the Lessee's breach of the Master Lease without regard to the performance or non-performance of the terms of the Sublease by the Sub Lessee.
(q). Sub Lessee agrees to promptly deliver a copy to the Lessor of all notices of default and all other notices sent to Lessee under the Sublease, and Lessee agrees to promptly deliver a copy to Lessor of all such notices sent to Sub Lessee under the Sublease. All copies of any such notices shall be delivered personally or sent by registered post or email to the Lessor.

The consent to Sublease by the Lessor constitutes the entire agreement to the subject matter and replaces any prior negotiations, representations, agreements, and understandings of Parties with respect to such matters oral or written.
This Agreement shall be governed by and in accordance with the laws of India and the courts of Andaman and Nicobar Islands will have the exclusive jurisdiction.
This Agreement may be signed in counterparts and all counterparts so executed will constitute one Agreement, binding on all Parties hereto.
