What is an Artistic Production Agreement?

An artistic production agreement is a specific type of service agreement in which one entity, the production service provider (or producer), undertakes to produce an artistic or media project for the client.

More specifically, the agreement covers the project that both parties will be working on, such as film, music, visual arts, or any other media production.


What should an Artistic Production Agreement contain?

The artistic production agreement should document the producer's involvement, the project they will undertake, to whom production services will be rendered, the payment structure, the agreement's duration, and more. The agreement should also contain provisions more commercially required, such as:

  • project details: this includes a description of the project that the producer will undertake for the client;
  • fee structure: this describes the amount of payment to the producer in exchange for their services;
  • the manner and timing of payment: this describes when the producer will be paid for their services and the method by which payment will need to be made;
  • the project deadline: this is the date by which the producer will need to complete the project; and
  • the production budget: this is the amount the client is willing to pay in order to have the project fulfilled.

The agreement also contains a clause allowing for royalty payments to the producer, depending on the licensing arrangement, if any. A royalty is a specific payment made from the business proceeds based on a specific rate. For example, this could mean 5% of the monthly profits.


Who can enter into an Artistic Production Agreement?

Production agreements can be between large entities, such as two large companies, or between individuals (in other words, a small client hiring a small producer). The signatories must be at least majority age and not under a disability. The ages of majority are as follows:

  • Alberta, Manitoba, Ontario, Prince Edward Island, Quebec, Saskatchewan: 18 years old.
  • British Columbia, New Brunswick, Newfoundland and Labrador, Northwest Territories, Nova Scotia, Nunavut, Yukon: 19 years old.


What has to be done after an Artistic Production Agreement is ready?

Once completed, the contract should be signed by both parties either electronically or physically. Each party must then keep a signed copy for their record. The producer and the client will then need to keep an open-line of communication on the project's progress.


Which laws are applicable to an Artistic Production Agreement?

Artistic production agreements are governed by the general law of contracts. Also, intellectual property laws such as the Copyright Act (R.S.C., 1985, c. C-42) and the Trademarks Act (R.S.C., 1985, c. T-13) may apply.
