A Notice of Non-Renewal of Contract is a document through which one party permanently ends a contractual relationship with another party. These documents are used in situations where the parties have entered a contract which may have a "rolling" renewal - in other words, an assumed or automatic renewal. This document will allow the party wishing to terminate the relationship to send an official notice.

Many times, in business relationships, parties will have fixed contract terms that are expected to renew. The only way to ensure that the contract doesn't renew is to send this kind of written notification.

This document may be used for many different kinds of contract (subject to the terms of the original contract, and industry specific laws), including but not limited to:

  • Service Agreement
  • Intellectual Property Licence Agreement
  • Agent Agreement
  • DJ Agreement
  • Roommate Agreement
  • Commercial Lease Agreement (Non-Retail)
  • Contract for Sale of Goods
  • Equipment Rental Agreement
  • Joint Venture Agreement
  • Agreement Between Co-Founders (Non-Binding)

How to use this document

This document may be used when any party wants to send a notice that they do not intend to renew their contract with another party.

Importantly, many contracts contain some specific rules about how parties may provide notice, and what parties must do if they wish not to renew the contract. These specific rules can vary from contract to contract. This document provides a general Notice of Non-Renewal of Contract. However, we cannot confirm whether this complies with the requirements of all contracts. Therefore, as a first step, parties may consider reviewing the original contract, to see if it says anything about how notices must be provided, and what parties must do if they wish not to renew the contract. If in doubt, seek legal advice.

In this document, the parties will be able to enter pertinent identifying details of each of the parties, as well as, if desired, a reason for the non-renewal.

When this agreement is filled out, the parties may either print and sign it to send or electronically sign to send. Then, the sender may retain a copy.

Applicable law

Notices of contract non-renewal are not subject to any specific laws, but will be subject to the terms of the original contract, in terms of how the notice must be sent, how much time is needed, and perhaps additional factors. General principles of contract law, as provided by the common law, will apply.
